Biography

Roger Joseph is a senior consultant in the Investment Management Practice Group at Morgan, Lewis & Bockius LLP. He previously served on the firm’s Advisory Board. Roger served as co-chair of Bingham McCutchen LLP’s global financial services practice and as a member of its Executive Board prior to that firm’s combination with Morgan Lewis.

Roger’s clients have included registered mutual funds and closed-end funds, investment advisers and independent directors, as well as sponsors of private equity funds, hedge funds and offshore funds. Roger has participated in many innovative developments in the investment management industry, including heading the legal team that developed the master/feeder legal structure and shepherding the first funds using that structure through the U.S. registration process. 

At Boston University School of Law, Roger teaches a course on the regulation of money management. He is a Trustee and Chair of the Committee on Trustees of the Catholic Schools Foundation, which provides scholarships to needy students attending Catholic elementary and high schools in the Boston area. He is a recipient of the Carolyn and Peter Lynch award for his work on behalf of the Foundation.  

Roger holds an A.B. magna cum laude from Cornell University, where he received the Duniway Prize as the highest ranking Government major, and a J.D. from Columbia Law School, where he graduated first in his class and served as an Articles Editor of the Columbia Law Review.

Regulated Money Management

3 credits

With more than $130 trillion in assets under management, investment advisers perform a vital role in raising and deploying capital within the U.S. financial system, and in meeting the retirement and other financial needs of ordinary Americans. This course is designed to familiarize students with the legal and regulatory framework of the investment management industry, and the role of the Securities and Exchange Commission in regulating the industry. The course focuses on the Investment Advisers Act of 1940 and the Investment Company Act of 1940 and examines how these statutes, along with other federal and state laws, govern the formation, distribution and management of investment-related products and services, including mutual funds, hedge funds and private equity and venture capital funds. We will also discuss whether and how these laws apply to the management of different varieties of crypto assets.
