Biography

Lauren Falkowitz is an associate in Goodwin’s Private Equity group and a member of the Private Investment Funds practice. She is also member of the Boston Hiring Committee, the Private Investment Funds US Knowledge Management Advisory Group, the Private Investment Funds Training Leadership Committee, and the Cannabis Incubator. Ms. Falkowitz’s practice focuses on all aspects of the formation, operation and ongoing maintenance of private investment funds, including private equity funds, venture capital funds, co-investments, fund-of-funds, secondaries and other investment advisory businesses in the United States and internationally.

Ms. Falkowitz’s advises clients on both their formation and fundraising activities, as well as their ongoing operational affairs, including regulatory compliance, investor relations, governance, investment personnel matters and administrative considerations. She advises a range of clients from some of the most well-known multi-billion dollar global investment firms to much smaller firms forming early-stage venture capital funds. Her practice also includes advising sponsors on the design of general partner and management company structures.

In 2020, Ms. Falkowitz completed a six-month secondment with Charlesbank, where she advised on the fundraising of their recent private equity fund.

Prior to joining Goodwin in 2016, Ms. Falkowitz worked for nine years in the financial services sector; three years with MBNA, and six years with American Express.

Private Equity and Venture Capital

3 credits

This seminar introduces students to the business and legal issues prevalent in private equity and venture capital financings, and highlights the roles that lawyers play in effecting these transactions. The seminar will begin with an overview of private capital investment platforms, including private equity and venture capital. It will explore how private capital funds are formed and the restrictions that investors may place on private capital investing. We will examine transaction terms and structures, pricing and corporate finance issues, and the management of transaction risk. The seminar will also highlight the due diligence process, shareholder relationships, conflicts of interest, fiduciary duties, securities laws considerations, and liquidity events. There is no final exam; grades will be based on drafting assignments, in-class exercises and class participation. RECOMMENDED COURSES: Corporations and Contract Drafting. UPPER-CLASS WRITING REQUIREMENT: This course is a designated Professional Writing Course which may be used to partially satisfy the Upper-Class Writing Requirement (with a grade of B or higher). GRADING NOTICE: This class does not offer the CR/NC/H option. ** A student who fails to attend the initial meeting of a seminar or to obtain permission to be absent from either the instructor or the Registrar, may be administratively dropped from the seminar. Students who are on a wait list for a seminar are required to attend the first seminar meeting to be considered for enrollment.
