Biography

Kathleen Phelps is an assistant general counsel for Ameresco Inc., where she represents the company in the development and financing of its solar and other projects. Prior to this position, she was of counsel in the energy transactions section of Morgan Lewis & Bockius LLP’s Corporate & Business Transactions Group, where she represented major institutional lenders and developers in a wide array of lending transactions, including project finance, commercial real estate, asset-based and bond financings, and large corporate finance, and has worked on the development and transfer of electric-generating facilities and other commercial real estate. At the firm, her practice focused on the development and permanent financing of wind, hydro, solar and biomass facilities across the US, and the purchase and sale of Solar Renewable Energy Certificates in the Commonwealth of Massachusetts. She teaches Introduction to Project Finance in the LLM in Banking & Finance Law Program.

INTRO TO PROJECT FINANCE

2 credits

This course focuses on the structure, documentation and negotiation of a typical project finance transaction. The class will explore legal, financial, and policy problems involved in investing in domestic and cross- border power and infrastructure projects. We will focus on strategies and techniques of structuring and financing such investments, and will touch upon the legal and regulatory environment for investment, and in the context of foreign investment, the role of political risk management and the implications of treaties, conventions, and other relevant law. Selected domestic and cross- border investment transactions, both actual and hypothetical, will be used to illustrate recurring issues. This course may contain a graded group drafting component where students draft and negotiate a loan agreement.
