Biography

Bisera Thaci is an associate at Hackett Feinberg P.C., a Boston-based law firm where she concentrates her practice in asset-based lending, commercial and industrial loans, commercial real estate financing, renewable energy finance, affordable housing and community development. Ms. Thaci represents banks and other financial institutions, nonprofit organizations, and state and local governmental agencies in structuring, documenting and negotiating complex finance transactions. She also dedicates part of her practice to advising businesses ranging from start-ups to established regional companies in matters of entity formation, corporate governance and commercial transactions.

Prior to joining Hackett Feinberg, Ms. Thaci worked in the commercial lending department at Bank of America. She analyzed the due diligence of and documented commercial and industrial loans for the small business, business banking and middle market portfolios of the bank, originated across the country. She also assisted in the review of both taxable and tax-exempt lending facilities to government entities and agencies in the areas of healthcare, higher education, power and energy, affordable housing and community development. Earlier in her career, Ms. Thaci practiced as a corporate lawyer in her home country of Albania, where she advised clients on corporate, commercial, administrative, real estate, and tax matters.

Ms. Thaci is currently an adjunct professor at Boston University School of Law. She has a law degree from the University of Tirana School of Law and an LLM in Banking and Financial Law from Boston University School of Law.

Commercial Lending

2 credits

This course studies the legal issues involved in negotiating and documenting various types of commercial lending transactions ranging from short-term unsecured loans to secured and long-term financings. The process is followed from the initial identification of a lending opportunity to pre-commitment correspondence and commitment letters, through to the key documents required at closing. The major aspects of a loan agreement, including definitional provisions, representations and warranties, lending provisions, pricing, affirmative and negative covenants, and events of defaults are studied in detail in an effort to ensure that students understand the mechanics of a commercial loan agreement. Security interests in real estate and personal property are addressed. Loan syndications and the loan markets are examined. Issues relating to guaranties and subordination agreements are considered. Overviews of Chapter 11 bankruptcy and lender liability are provided. A lecture and discussion format is employed.
