This course explores the legal consequences of transactions touching on more than one state or nation. It examines the rules governing choice of applicable law, judicial jurisdiction, and recognition of foreign judgments, both in the U.S. interstate context and in the international setting. In addition to covering the various approaches adopted by courts in cases involving torts, contracts, property, family law, corporations and procedure, the course will touch on practical problems such as drafting and enforcing contractual choice of law and arbitration clauses. Finally, attention will be placed on constitutional limitations on choice of law, the privileges and immunities clause and the extraterritorial reach of federal statutes, as well as comparison between American and European approaches and international efforts to harmonize conflict of law rules.
