{"id":2882,"date":"2016-08-01T09:12:02","date_gmt":"2016-08-01T13:12:02","guid":{"rendered":"https:\/\/www.bu.edu\/research\/?page_id=2882"},"modified":"2025-08-01T16:54:19","modified_gmt":"2025-08-01T20:54:19","slug":"material-transfer-agreements","status":"publish","type":"page","link":"https:\/\/www.bu.edu\/research\/collaboration-partnership\/industry-collaboration\/material-transfer-agreements\/","title":{"rendered":"Material Transfer Agreements"},"content":{"rendered":"<p>Material transfer agreements (MTAs) are agreements that establish the terms and conditions upon which proprietary materials are transferred by BU to outside parties, or received by BU from outside parties, for use by designated persons in specified and approved research protocols.<\/p>\n<h2 id=\"why-are-mtas-important\">Why are MTAs important?<\/h2>\n<p>MTAs protect the intellectual property rights of Boston University, Boston University Medical Schools and\/or Boston Medical Center in unique materials you have created. An MTA may also provide important protections against liability for the University and\/or BMC with respect to the materials transferred.<\/p>\n<p>MTA requests are reviewed and negotiated in close coordination with <a href=\"https:\/\/www.bu.edu\/research\/ethics-compliance\/research-security\/export-control\/\">Export Control<\/a> and the <a href=\"https:\/\/www.bu.edu\/research\/ethics-compliance\/safety\/biological-safety\/ibc\/\">Institutional Biosafety Committee<\/a>.<\/p>\n<h2 id=\"what-do-mtas-do\">What do MTAs do?<\/h2>\n<p>MTAs address both the manner and the scope in the following areas:<\/p>\n<ul>\n<li>Permitted use of the proprietary materials.<\/li>\n<li>Terms of the institution and the researcher\u2019s publication rights with respect to the use of the proprietary materials.<\/li>\n<li>The respective intellectual property rights of the provider of, and the recipient of, the proprietary materials.<\/li>\n<\/ul>\n<h3 id=\"examples\">Examples<\/h3>\n<p>These are some materials often transferred under an MTA:<\/p>\n<ul>\n<li>Certain chemical compounds<\/li>\n<li>Genetically altered mice<\/li>\n<li>Animal models<\/li>\n<li>Tissues (human or animal)<\/li>\n<li>Sera<\/li>\n<li>Plasmids<\/li>\n<li>Compounds<\/li>\n<li>Molecules<\/li>\n<\/ul>\n<p>All agreements by BU with outside parties must be signed by an authorized (BU) institutional signatory. As a general matter, BU faculty members are not authorized signatories for BU.<\/p>\n<h2 id=\"imta\">Incoming Material Transfer Agreements<\/h2>\n<div class=\"bu_collapsible_container \" aria-live=\"polite\" data-customize-animation=\"false\"><h3 class=\"bu_collapsible\" aria-expanded=\"false\"tabindex=\"0\" role=\"button\">Initiating an incoming material transfer agreement<\/h3><div class=\"bu_collapsible_section\" style=\"display: none;\">Incoming MTAs govern the transfer of material from an outside organization into BU for research purposes. Examples of such research material include physical materials such as tissue samples, transgenic mice, cell lines, gene constructs, compounds, antibodies, etc. Please Note: Research material transferred under a MTA cannot be used in human subjects. If the material is a drug or a device that will be used in human subjects, please follow the procedures described for CTAs.<\/div>\n<\/div>\n\n<div class=\"bu_collapsible_container \" aria-live=\"polite\" data-customize-animation=\"false\"><h3 class=\"bu_collapsible\" aria-expanded=\"false\"tabindex=\"0\" role=\"button\">Incoming MTAs Instructions<\/h3><div class=\"bu_collapsible_section\" style=\"display: none;\"><\/p>\n<ul>\n<li>Complete the <a href=\"https:\/\/www.bu.edu\/research\/forms-policies\/material-transfer-agreement-mta-request-incoming-mtas\/\" title=\"Material Transfer Agreement (MTA) request: Incoming MTA\u2019s\">incoming MTA Form<\/a><\/li>\n<li>Your completed form is assigned to an industry contracting team member<\/li>\n<li>The industry contracting team member will confirm receipt and review the form and initiate the MTA process<\/li>\n<li>Please contact <a href=\"mailto:industry@bu.edu\">industry@bu.edu<\/a> if you do not receive a confirmation within 3 business days of submitting your <a href=\"https:\/\/www.bu.edu\/research\/forms-policies\/material-transfer-agreement-mta-request-incoming-mtas\/\" title=\"Material Transfer Agreement (MTA) request: Incoming MTA\u2019s\">incoming MTA Form<\/a><\/li>\n<\/ul>\n<h4>Other documents\/information that may be required include:<\/h4>\n<ul>\n<li><a href=\"https:\/\/www.bu.edu\/research\/ethics-compliance\/safety\/biological-safety\/ibc\/\" title=\"Institutional Biosafety Committee\">Institutional Biosafety Committee<\/a> approval number<\/li>\n<li>IACUC approval number if incoming material is a live animal.<\/li>\n<\/ul>\n<p>Researchers generally initiate an incoming transfer by obtaining a standard form from the transferring institution. The Sponsored Programs team handles incoming MTAs. As with other agreements, an authorized institutional signature is required in addition to the signature of the PI\/PD. Where possible, the federally developed MTAs are used.<\/p>\n<p>For some biological materials, there are generic terms that have been accepted by numerous Universities and other third parties. If the criteria are met, these transfers can be processed fairly quickly.<\/div>\n<\/div>\n\n<div class=\"bu_collapsible_container \" aria-live=\"polite\" data-customize-animation=\"false\"><h3 class=\"bu_collapsible\" aria-expanded=\"false\"tabindex=\"0\" role=\"button\">For Addgene MTAs<\/h3><div class=\"bu_collapsible_section\" style=\"display: none;\"><\/p>\n<ul>\n<li>Place your Addgene order online<\/li>\n<li>Once your Addgene order has been received by the industry contracting group, a team member will contact you to complete the <a href=\"https:\/\/www.bu.edu\/research\/forms-policies\/incoming-addgene-mta-request-form\/\">Incoming Addgene MTA Request Form<\/a><\/li>\n<li>Your completed Addgene MTA intake form is reviewed and there may be additional follow-up about MTA terms<\/li>\n<li>The industry contracting team member will contact the <a href=\"https:\/\/www.bu.edu\/research\/ethics-compliance\/safety\/biological-safety\/ibc\/\" title=\"Institutional Biosafety Committee\">Institutional Biosafety Committee<\/a> for approval<\/li>\n<li>Upon receipt of IBC approval and the Addgene MTA form, your Addgene order will be approved if there are no further questions or issues<\/li>\n<li>Please contact <a href=\"mailto:industry@bu.edu\">industry@bu.edu<\/a> if you do not receive a confirmation within 3 business days of submitting your Addgene order<\/li>\n<\/ul>\n<p><\/div>\n<\/div>\n\n<p>&nbsp;<\/p>\n<h2 id=\"omta\">Outgoing Material Transfer Agreements<\/h2>\n<div class=\"bu_collapsible_container \" id=\"MTA1\" aria-live=\"polite\" data-customize-animation=\"false\"><h3 class=\"bu_collapsible\" aria-expanded=\"false\"tabindex=\"0\" role=\"button\">Do I need an outgoing MTA?<\/h3><div class=\"bu_collapsible_section\" style=\"display: none;\"><span style=\"font-weight: 400;\">BU encourages researchers to exchange non-hazardous or non-human research materials for non-profit, basic research purposes without a formal legal agreement, when practicable, <\/span><span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">subject to the following<\/span><\/span><span style=\"font-weight: 400;\">:&nbsp;<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Outgoing MTAs&nbsp;are&nbsp;<\/b><b><i>required<\/i><\/b><b> when*<\/b><span style=\"font-weight: 400;\">:<\/span>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Sending human-derived biological material, tissue, fluids, specimens&nbsp;or samples of any kind for research purpose;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Sending materials (including any component) received by BU from another party under an agreement which requires further action for transfer (e.g., another MTA, sponsored research agreement, purchase order, commercial purchase or other restrictive agreement which limits use or prohibits\/limits further transfer of such material); or<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Sending materials when an MTA is otherwise legally required;&nbsp;<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Outgoing MTAs may be <\/b><b><i>desired<\/i><\/b><b>, e.g. when<\/b><span style=\"font-weight: 400;\">:<\/span>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Sending pre-published materials where intellectual property protection is being considered, but patents have not yet been filed (e.g., avoid inadvertent public disclosure); or<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">BU\u2019s Principal Investigator is sending materials to a Recipient with restrictions, e.g., limitations on use and further transfer;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">BU\u2019s Principal Investigator wishes the lab to be reimbursed for costs of preparation and distribution of those materials taking into account Program Income requirements for federal research grants.<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">*The <\/span><b>University Principal Investigator<\/b><span style=\"font-weight: 400;\">, per the Responsible Conduct of Research Policy, is responsible for the compliance with the legal, regulatory, and ethical requirements established by the University, regulatory agencies, funding sources and professional organizations including with respect to MTAs:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Investigating and identifying limitations, requirements, restrictions or hazards applicable to the material; and&nbsp;&nbsp;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Obtaining any review and approvals necessary for the transfer of materials (e.g., IRB, ASC, OEHS, Export Control, or third party permission \u2013 including funders, providers, vendors and recipients, etc.)<\/span><\/li>\n<\/ul>\n<p><b><i>The Industry Contracting Group and Technology Development rely upon the due diligence and written assurances provided by the University Principal Investigator as to all compliance matters, when drafting agreements.<\/i><\/b><\/div>\n<\/div>\n\n<div class=\"bu_collapsible_container \" aria-live=\"polite\" data-customize-animation=\"false\"><h3 class=\"bu_collapsible\" aria-expanded=\"false\"tabindex=\"0\" role=\"button\">Outgoing MTA Instructions<\/h3><div class=\"bu_collapsible_section\" style=\"display: none;\">Outgoing MTA requests are handled by the team in the Office of Technology Development (OTD). OTD relies upon the due diligence and written assurances provided by the requesting Principal Investigator as to all compliance matters, when drafting agreements. Please review the information at <a href=\"https:\/\/www.bu.edu\/research\/collaboration-partnership\/industry-collaboration\/material-transfer-agreements\/#MTA1\">Do I need an Outgoing MTA?<\/a> If you decide that an MTA is either needed or desired, then the following details the Outgoing MTA process:<\/p>\n<ul>\n<li>Complete the <a href=\"https:\/\/www.bu.edu\/research\/forms-policies\/material-transfer-agreement-mta-request\/\">Outgoing MTA Request Form<\/a><\/li>\n<li>The completed form is assigned to an OTD team member<\/li>\n<li>OTD will confirm receipt and review the form and initiate the MTA process<\/li>\n<li>Please contact <a href=\"mailto:\u201cotdforms@bu.edu\u201d\">OTD<\/a> if you do not receive a confirmation within 3 business days of submitting an Outgoing MTA request<\/li>\n<li>Based on answers to questions in the form, the following groups may also receive notification of the request and could contact you directly regarding the request:\n<ul>\n<li>Institutional Review Board (IRB)<\/li>\n<li>Export Control<\/li>\n<li>National Emerging Infectious Diseases Laboratory (NEIDL)<\/li>\n<li>Animal Science Center (ASC)<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p>Outgoing MTAs are generally initiated by OTD. OTD will determine the appropriate form of MTA.<\/div>\n<\/div>\n\n<div class=\"bu_collapsible_container \" aria-live=\"polite\" data-customize-animation=\"false\"><h3 class=\"bu_collapsible\" aria-expanded=\"false\"tabindex=\"0\" role=\"button\">For Addgene MTAs (Deposit Agreements)<\/h3><div class=\"bu_collapsible_section\" style=\"display: none;\">Boston University has signed a Master Deposit Agreement with Addgene to simplify the deposit of plasmids by BU researchers. Instead of requesting an MTA through OTD, researchers looking to deposit materials with Addgene should go to <a href=\"https:\/\/www.addgene.org\/depositing\/start-deposit\/\">Addgene: Start Plasmid Deposit<\/a> and follow the Addgene deposit instructions. Addgene will solicit information about the deposit directly, and will notify OTD about the requested deposit. Addgene will then send a questionnaire directly to the researcher to be completed and returned to Addgene, which Addgene will then forward to OTD. This questionnaire takes the place of the MTA Request Form and is intended to provide OTD with the information necessary to determine whether BU has the rights required to distribute the plasmids, not only to Addgene, but to Addgene\u2019s customers. OTD will either approve the deposit with Addgene, or will contact the research to resolve any questions or issues regarding the transfer. If OTD approves the deposit, OTD will notify Addgene, who will then contact the researcher to proceed with the deposit. If OTD does not approve the deposit, OTD may contact the researcher for more information, or may inform Addgene and the researcher that the requested deposit cannot be processed.<\/div>\n<\/div>\n\n<div class=\"bu_collapsible_container \" aria-live=\"polite\" data-customize-animation=\"false\"><h3 class=\"bu_collapsible\" aria-expanded=\"false\"tabindex=\"0\" role=\"button\">If you are transferring animals<\/h3><div class=\"bu_collapsible_section\" style=\"display: none;\">The title to the animal is an important consideration. Please review the background of the animal before submitting your MTA request. If the University does not own the animal, we must have an appropriate incoming MTA that permits the transfer of the animal to third parties. In some situations, even if the University has the title to the animal, there are restrictions on further transfers. These situations require negotiating a waiver of these obligations with the commercial vendor or third party the animal was acquired from.<\/div>\n<\/div>\n\n<div class=\"bu_collapsible_container \" aria-live=\"polite\" data-customize-animation=\"false\"><h3 class=\"bu_collapsible\" aria-expanded=\"false\"tabindex=\"0\" role=\"button\">If you are transferring human tissues<\/h3><div class=\"bu_collapsible_section\" style=\"display: none;\">Human tissues require Institutional Review Board (IRB) review and approval. Please consult with the IRB with respect to the specific material transfer before submitting your request for a transfer of human tissues. If transfers are not clearly within the scope of a patient consent, the process of either interpreting the consent with respect to the contemplated transaction or obtaining a proper patient consent can be time consuming and can significantly delay the transfer of the material.
