Director's Message
Greetings from the Graduate Tax Program at the Boston University School of Law,
I hope everyone is having a wonderful summer. This issue of the Graduate Tax Program Alumni Newsletter focuses on the research of both our students and our alumni. If you have recently published an article or are working on an exciting research project, please let us know. We would love to feature it in upcoming editions of the newsletter.
I wanted to let you know that, over the course of the next several months, I will be transitioning out of my present positions at BU Law in order to undertake new responsibilities here which primarily involve alumni relations and fund raising as well as other special projects. As of September 1, 2007, I will be stepping aside as Associate Dean for Graduate Programs. John R. Riccardi, the Assistant Dean for Graduate and International Programs, will take over responsibility for the oversight and coordination of all of our LL.M. Programs in addition to his other current duties. I will continue to serve as Director of the Graduate Tax Program until a successor is in place. Dean Maureen O'Rourke has appointed a search committee - consisting of Professor Alan Feld, Professor David Walker, Dean John Riccardi, GTP alumnus and faculty member Ameek Ponda, herself, and me as the Chair - to recruit that successor.
This transition, I believe, will serve very well both the School of Law and me personally. The Graduate Tax Program has made great strides forward in the past few years. However, I believe that the Graduate Tax Program needs a full time tax professional to move it to an even higher level of excellence. And, as I approach the age of 69, I am very much looking forward to undertaking a role that will allow me more flexibility in my personal life.
It's been a pleasure getting to know many of you over the past five years. I hope we can continue to remain in touch.

Adjunct Professor Joseph Darby Creates Student Research-Based Course
Adjunct Professor Joseph B. Darby III of the Graduate Tax Program decided to challenge himself as well as his students when he set out to create a new course for the Spring 2007 semester entitled Structuring Intellectual Property Ownership. "I decided that if I did not want to turn into an old dog, I had to prove I could still learn some new tricks," he says sardonically.
Professor Darby already teaches two other courses in the GTP, Taxation of Intellectual Property and Tax Aspects of Buying and Selling a Business, and he was looking for a different way to teach an advanced-level course. His solution: Have the students do the teaching.
"This is supposed to be an end-of-the-curriculum course where students take everything they have learned so far and show that they can teach themselves moving forward," explains Darby.
The students were expected to write a term paper on a sophisticated topic involving the ownership and exploitation of intellectual property, and then present the subject matter to the class. In addition, Darby agreed to co-author with any interested student an article based on the term paper. He has gotten four of the articles published to date.
"The goal was to make the students demonstrate that they knew how to apply their LL.M. in the practice of law. Each student identified a topic that is important in the real world of 2007, and then wrote a term paper that was intended to be published. I also expected each student to teach most or all of one two-hour class, both to show poise and confidence in front of a live audience, and also to share their knowledge with their classmates."

Professor Darby, who spent his five years as a journalist before taking up the practice of law, has published eight books and somewhere between 500 and 1000 articles, on topics ranging from tax law to sports to belly-dancing. Among other publishing ventures, he turned his course materials for Tax Aspects of Buying and Selling a Business into a full fledged book, which was published in 2006 by CCH, a Walter Kluwer business, under the title Practical Guide to Mergers, Acquisitions and Business Sales.
"I like to write, and providing my own written materials works well with the Graduate Tax Program," explains Darby. "The students are busy, many of them have full time jobs, and while a good class presentation is important, most of the students want good written materials so that they can sit at home, think about, and absorb the information at their convenience."
The Structuring Intellectual Property Transactions course grew out of a desire to carry his Taxation of Intellectual Property course to the next level. "I originally expected to cover international IP structuring transactions as part of the basic intellectual property course," explains Darby, "but there is only so much you can pack into 13 weeks. I showed my original syllabus to one of the other faculty members, who had a lot more experience teaching then I did at that point, and he said 'if you get a third of this covered you'll be doing well.'"
Darby was also looking for a new approach to teaching. "The other two courses that I teach are very structured, and the purpose is to cover a specific amount of material at a reasonably aggressive pace. But international tax planning, especially with intellectual property, is so dynamic and creative that it is hard to put together a set curriculum. In theory, the course covers income taxation in over 150 countries, includes every bi-lateral tax treaty that exists today, and covers in-bound and out-bound taxation principles in every jurisdiction. Simply put, you can’t cover it all, so you have to come up with a strategy for selectively teaching principles that can be used and extrapolated by students to become self-educating professionals as they apply their skills to practice."
The course began with a vague ambition to start with domestic U.S. tax planning, and then expanding to international tax planning. After one or two weeks of lectures, Darby decided to let creativity reign. "I gave several class members the assignment of creating a domestic intellectual property holding entity, formed under Delaware law, operating from a headquarters in Nevada, and selling products in Massachusetts, and then I assigned to several other class members the role of playing the Massachusetts Department of Revenue and attacking the transaction. Half the class, the tax planners, had carte blanche to design the arrangement as they saw fit, and then the other half of the class, the revenue agents, tore it apart. It was a lot of fun and a really good learning experience for everyone, including me."
From there, the course turned to international tax planning. "I wanted the students to research some of the cutting-edge ideas in international tax planning for intellectual property, and so we went over a variety of interesting topics, and the students picked ideas they liked, or presented their own proposals."
The result was seven papers on the following topics: (1)a paper investigating how Microsoft or other U.S. based software companies might use a two-tiered Irish structure, with the upper-tier Irish company based in Bermuda, to minimize taxation on sales outside the U.S.; (2)an article on how the Rolling Stones, the famous English rock group, structured their activities to achieve an astonishing low 1.5% tax rate on their worldwide song royalties; (3)an article on the latest developments in cost-sharing agreements, including proposed regulations issued by the Treasury that would dramatically change the current landscape; (4)an article on controlled foreign corporations, and how to avoid the trap of SubpartF; (5)an article on dramatic recent changes in the tax regime in the People’s Republic of China; (6)a paper on the pluses and minuses of using hybrid entities in international tax planning; and (7)an article that attempted to analyze how pharmaceutical companies can use Switzerland to minimize tax cost on the international exploitation of patented drugs.
Summarizing his experience, Darby says, "I decided to teach the course because I frankly wanted to learn as much as possible about what was happening in the world of tax planning for intellectual property. In the other two courses I teach, my role is to be the tax expert and provide an organized syllabus of information, and the role of students is basically to be the sponges, to soak up the information and then give it back to me on the exam. In this course, I wanted to put the students to work, not just for me but for themselves, to pick a really interesting topic, research it and develop it into a term paper, and then go beyond the usual limits of the course by first having the students teach for at least one hour on the topic that they had researched, and then secondly, if they were ambitious enough and had the time, to help me turn the paper into a published article. Four of the articles have been published so far and all seven of the papers will be part of my course materials next year. In effect, the students have directly participated in creating and developing this course from scratch. Next year’s class will have the advantage of the first year’s class, and the third year will be better still."

Avi Lev's "Golden Parachute"
Avi Lev ('02) is currently practicing at Davis, Malm & D'Agostine in Boston. Prior to joining Davis, Malm & D'Agostine, Mr. Lev worked on the issue of the "golden parachute" excise, and resolved many cases that involved complex issues under Code Section 280G. Out of those experiences, he published an article entitled "Planning to Avoid Excess Golden Parachute Payments" that was published in the March 2007 issue of the Journal of Taxation. The article summarizes "best practices" for avoiding the excise, both at the time of hiring and at the time that a change in control is contemplated.

Curriculum Updates
In March and April, the GTP held separate curriculum review meetings with faculty members who teach courses in the estate planning, international taxation and business taxation concentrations to identify any overlap between courses and to determine if there were any holes in the curriculum. Commencement 2007 Events
In the weeks leading to commencement, the LL.M. Programs organized several events to mark the end of a great year:
On Friday, May 11th, 70 students from all of the LL.M. programs took in a Boston Red Sox game at Fenway Park. Although the Sox lost to the Baltimore Orioles 6-3, everyone had a wonderful time on the last day of exams.

Despite a ferocious spring rainstorm, LL.M. students boarded the Spirit of Boston cruise ship and sailed around the Boston Harbor on May 16th. The ship featured live entertainment and a chance for students from the different LL.M. programs to show off their dancing skills!
